Terms of Service

1. Service Description

ModelRoute ("we", "us", "our") operates a provider-opaque AI execution infrastructure. You submit canonical requests through our API. We select and route to third-party AI providers on your behalf. You receive normalized output, canonical billing, and platform-owned storage references. You do not select, control, or have visibility into which provider executes your request.

MODELROUTE IS AN INFRASTRUCTURE AND ROUTING SERVICE ONLY. WE DO NOT CREATE, OWN, TRAIN, FINE-TUNE, HOST, OR OPERATE ANY AI MODELS. ALL AI MODELS ACCESSED THROUGH THE SERVICE ARE OWNED AND OPERATED BY INDEPENDENT THIRD-PARTY PROVIDERS. WE ARE A PASS-THROUGH INFRASTRUCTURE LAYER — ANALOGOUS TO A PAYMENT PROCESSOR THAT DOES NOT OWN THE BANKS.

  • We have no control over how third-party AI models process your data, generate outputs, or handle content internally.
  • We have no control over the training data, algorithms, biases, capabilities, or limitations of any AI model.
  • We make no representations about the behavior, safety, accuracy, or compliance of any AI model.
  • Each AI provider has its own terms of service, privacy policy, and data handling practices which govern how your data is processed by their models.
  • We do not train, create, or contribute to any AI model. We route requests and normalize responses.

2. Account Terms

  • You must provide accurate and complete information during registration.
  • Each account is associated with an organization. The registering user becomes the organization owner.
  • You are solely responsible for maintaining the security of your account credentials and API keys (HMAC-SHA256, max 20 per organization).
  • You must notify us immediately of any unauthorized use of your account.
  • You are liable for all activity under your API keys, whether authorized by you or not.
  • You must be at least 18 years old or the age of legal majority in your jurisdiction.

3. User Responsibility for AI-Generated Content

YOU ARE SOLELY AND ENTIRELY RESPONSIBLE FOR ALL CONTENT YOU SUBMIT TO, AND ALL CONTENT GENERATED THROUGH, THE SERVICE. THIS INCLUDES ALL INPUTS, PROMPTS, FILES, AND ALL AI-GENERATED OUTPUTS, INCLUDING THEIR DOWNSTREAM USE, DISTRIBUTION, PUBLICATION, AND ANY CONSEQUENCES ARISING FROM SUCH USE.

  • You must make your own independent determinations as to the accuracy, legality, appropriateness, and fitness for purpose of all AI-generated output.
  • You must not represent AI-generated content as human-created without clear disclosure.
  • You must ensure all use of AI-generated content complies with all applicable laws, regulations, intellectual property rights, and ethical standards in every jurisdiction where the content is used.
  • You acknowledge that AI outputs may contain errors, inaccuracies, fabricated information ("hallucinations"), biased content, or material that may be offensive, inappropriate, or illegal in certain jurisdictions.
  • You acknowledge that AI-generated outputs may not be unique and that substantially similar outputs may be generated for other users.
  • ModelRoute does not review, verify, endorse, or assume any responsibility for any AI-generated content.

4. Prohibited Uses

You agree not to use the service to:

  • Generate, distribute, or facilitate child sexual abuse material (CSAM) or any content that sexualizes minors.
  • Generate content that promotes, facilitates, or provides instructions for violence, terrorism, weapons of mass destruction, or illegal weapons manufacturing.
  • Generate fraudulent, deceptive, or misleading content including deepfakes intended to deceive, impersonate real individuals, or manipulate elections.
  • Generate political advertisements or campaign content without clear AI-generation disclosure.
  • Facilitate fully automated decision-making in areas with significant legal consequences (employment, credit, housing, criminal justice, immigration) without meaningful human oversight.
  • Use outputs for mission-critical systems including nuclear facilities, aircraft navigation, life support, weapons systems, or any application where failure could result in death or serious injury.
  • Attempt to circumvent rate limits, authentication controls, content moderation, safety filters, or other security measures.
  • Share API keys publicly, embed them in client-side code, or share them with unauthorized parties.
  • Reverse engineer, decompile, or extract the source code, algorithms, routing logic, or provider selection mechanisms of our service.
  • Use the service or its outputs to create, train, develop, improve, or benchmark products or services that compete with ModelRoute.
  • Resell, sublicense, or provide standalone access to the service without our prior written consent.
  • Interfere with or disrupt the integrity, performance, or availability of the service.
  • Use the service for any purpose that violates applicable laws or regulations, or the acceptable use policies of upstream AI model providers.

5. NSFW and Adult Content

The service permits the generation of content that may be considered Not Safe For Work (NSFW), including but not limited to adult, explicit, sexually suggestive, violent, or otherwise mature content, where such content is legal in the user's jurisdiction.

BY USING THE SERVICE TO GENERATE NSFW OR ADULT CONTENT, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT: (A) YOU ARE OF LEGAL AGE IN YOUR JURISDICTION TO VIEW AND CREATE SUCH CONTENT; (B) YOU ASSUME ALL RISK AND LIABILITY FOR THE CREATION, POSSESSION, DISTRIBUTION, AND USE OF SUCH CONTENT; (C) YOU ARE SOLELY RESPONSIBLE FOR ENSURING COMPLIANCE WITH ALL APPLICABLE OBSCENITY, DECENCY, AND CONTENT LAWS IN EVERY JURISDICTION WHERE THE CONTENT IS CREATED, STORED, DISTRIBUTED, OR ACCESSED; (D) MODELROUTE BEARS NO RESPONSIBILITY WHATSOEVER FOR ANY NSFW CONTENT GENERATED THROUGH THE SERVICE; AND (E) YOU WAIVE ANY AND ALL CLAIMS AGAINST MODELROUTE ARISING FROM OR RELATED TO NSFW CONTENT.

  • NSFW content depicting, involving, or referencing minors in any capacity is strictly prohibited and will result in immediate account termination and reporting to law enforcement.
  • Non-consensual intimate imagery (real or AI-generated deepfakes of real individuals) is strictly prohibited.
  • You must implement appropriate age verification, access controls, and content warnings in any application that serves NSFW content generated through ModelRoute to end users.
  • You must not distribute NSFW content to minors or in contexts where recipients have not consented to receiving such content.
  • ModelRoute reserves the right to disable NSFW capabilities for any account at our sole discretion.

6. Assumption of Risk and Liability Waiver

BY USING THE SERVICE, YOU EXPRESSLY ACKNOWLEDGE THAT YOU USE IT AT YOUR OWN RISK. YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH THE USE OF AI-GENERATED CONTENT, INCLUDING BUT NOT LIMITED TO RISKS OF INACCURACY, INTELLECTUAL PROPERTY INFRINGEMENT, OFFENSIVE CONTENT, LEGAL LIABILITY, REPUTATIONAL HARM, AND FINANCIAL LOSS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY AND ALL CLAIMS, DEMANDS, AND CAUSES OF ACTION AGAINST MODELROUTE ARISING FROM OR RELATED TO: (A) THE CONTENT, QUALITY, ACCURACY, OR LEGALITY OF ANY AI-GENERATED OUTPUT; (B) ANY DECISION OR ACTION YOU TAKE BASED ON AI-GENERATED OUTPUT; (C) ANY THIRD-PARTY CLAIMS ARISING FROM YOUR USE OR DISTRIBUTION OF AI-GENERATED CONTENT; (D) ANY HARM RESULTING FROM NSFW, EXPLICIT, OFFENSIVE, OR CONTROVERSIAL CONTENT GENERATED THROUGH THE SERVICE.

ModelRoute does not monitor, review, moderate, endorse, or police the content of your inputs, outputs, files, or any AI-generated content processed through the service. We expressly disclaim any duty or obligation to undertake any monitoring or review of content passing through our infrastructure. We reserve the right, but have no obligation, to remove content or suspend access at our sole discretion.

7. Payment Terms

  • The service operates on a pay-as-you-go, prepaid balance model with hold-before-execute billing. You must maintain a positive balance to submit executions.
  • When you submit an execution, we place a hold on your balance (estimated cost x 1.2, minimum $0.01). Upon completion, the hold is settled at the actual cost. Failed executions release the hold.
  • Balances are scoped to organizations, not individual users.
  • You may enable auto top-up to automatically replenish your balance via Stripe.
  • All payments are processed through Stripe. By using our billing features, you also agree to Stripe's terms of service.
  • Volume discounts are available for enterprise customers by separate agreement.
  • We reserve the right to change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance.
  • Refunds may be issued at our sole discretion for verified service errors. We are not obligated to refund for provider-side errors, content moderation rejections, or dissatisfaction with AI-generated output quality.

8. File Handling and Storage

  • Files uploaded to ModelRoute are stored in platform-owned storage. Maximum file size: 100 MB.
  • Providers receive short-lived presigned URLs (5-minute TTL), base64-encoded content, or raw passthrough — never your permanent storage references.
  • Provider output URLs are downloaded and re-hosted in platform storage. You receive opaque file references (file_uuid format), never raw provider URLs.
  • We reserve the right to delete stored files after the retention period configured for your organization or upon account termination.

9. Intellectual Property and Output Ownership

BECAUSE MODELROUTE DOES NOT CREATE, OWN, TRAIN, OR OPERATE ANY AI MODELS, WE BEAR NO RESPONSIBILITY FOR ANY INTELLECTUAL PROPERTY CLAIMS, COPYRIGHT INFRINGEMENT, OR RIGHTS VIOLATIONS ARISING FROM AI-GENERATED OUTPUT. ALL SUCH LIABILITY RESTS WITH YOU (THE USER) AND/OR THE THIRD-PARTY AI MODEL PROVIDER.

  • The ModelRoute service (software, APIs, documentation, routing algorithms, branding) is our intellectual property.
  • You retain all rights to your input data.
  • AI-generated output ownership is assigned to you, subject to: (a) the license terms of the third-party AI model that generated the output, (b) third-party intellectual property rights, and (c) these Terms of Service.
  • We make no representation or guarantee that AI-generated output is original, non-infringing, or eligible for copyright protection in any jurisdiction. Neither you, ModelRoute, nor the AI model may be considered the "author" under copyright law.
  • Third-party AI models may have been trained on data that includes copyrighted, trademarked, or otherwise protected material. We have no knowledge of, control over, or responsibility for the training data used by any AI model provider.
  • We disclaim all liability for: (a) intellectual property claims arising from AI-generated output, (b) claims that AI-generated output infringes any patent, copyright, trademark, trade secret, or other proprietary right, and (c) any losses arising from your use, distribution, or commercialization of AI-generated output.
  • You are solely responsible for conducting your own due diligence on whether AI-generated output is suitable for your intended use, including clearance for intellectual property rights.
  • You grant ModelRoute a limited, non-exclusive, royalty-free license to process, store, and transmit your content solely to the extent necessary to provide the service.
  • We do not use your input or output content to train, fine-tune, or improve any AI model. We do not create derivative works from your content.

10. Indemnification

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS MODELROUTE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS FROM AND AGAINST ALL CLAIMS, LOSSES, LIABILITIES, EXPENSES, DAMAGES, AND COSTS (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING FROM OR RELATED TO:

  • Your use of the service or any AI-generated content, including all downstream use, distribution, and publication of such content.
  • Your violation of these Terms, any applicable law, or any third-party right (including intellectual property, privacy, or publicity rights).
  • Claims by any third party arising from content you submitted to or generated through the service.
  • Your negligence, recklessness, or willful misconduct.
  • Actions of your end users, customers, or any party who accesses AI-generated content through your applications or services.

This indemnification obligation survives termination of your account and these Terms. ModelRoute reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR COMPLETENESS.

  • WE DO NOT WARRANT THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, ERROR-FREE, OR FREE OF FABRICATED INFORMATION ("HALLUCINATIONS").
  • WE DO NOT WARRANT THAT AI-GENERATED OUTPUTS WILL BE NON-INFRINGING. THIRD-PARTY MODELS MAY HAVE BEEN DEVELOPED USING DATA THAT INFRINGES THE RIGHTS OF THIRD PARTIES.
  • WE DO NOT WARRANT THAT AI-GENERATED OUTPUTS WILL BE UNIQUE. SIMILAR OR IDENTICAL OUTPUTS MAY BE GENERATED FOR OTHER USERS.
  • WE DO NOT WARRANT UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION OF THE SERVICE.
  • WE EXPRESSLY DISCLAIM ANY LIABILITY FOR THE ACTIONS, DECISIONS, OUTPUTS, OR BEHAVIORS OF THIRD-PARTY AI MODELS ACCESSED THROUGH OUR INFRASTRUCTURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MODELROUTE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, WHETHER INCURRED DIRECTLY OR INDIRECTLY, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE LESSER OF: (A) THE TOTAL AMOUNT YOU PAID TO MODELROUTE IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

The foregoing limitations shall not apply to liability arising from our gross negligence, willful misconduct, or fraud, or to the extent prohibited by applicable law.

13. DMCA and Intellectual Property Claims

If you believe that content available through our service infringes your copyright or other intellectual property rights, you may submit a notice to our designated agent at legal@modelroute.ai containing: (a) identification of the copyrighted work, (b) identification of the infringing material, (c) your contact information, (d) a statement of good faith belief, (e) a statement of accuracy under penalty of perjury, and (f) your physical or electronic signature.

14. Termination

  • You may terminate your account at any time through the dashboard settings or by contacting support.
  • We may suspend or terminate your account immediately and without notice for violations of these terms, prohibited use, suspected fraud, or as required by law.
  • We may terminate your account with 30 days' notice for any other reason.
  • Upon termination, your access ceases immediately. Stored files and data will be deleted in accordance with our Privacy Policy and legal retention requirements.
  • Any remaining balance at termination may be refunded minus outstanding charges, at our discretion.
  • Sections 3, 5, 6, 9, 10, 11, 12, and 13 survive termination of these Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to personal jurisdiction in these courts and waive any objection to venue.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the service after changes constitutes acceptance of the updated terms. If you do not agree to the updated terms, you must stop using the service and terminate your account.
